CONSTITUTION OF THE INTERNATIONAL AMATEUR RADIO UNION, REGION II
ARTICLE I
NAME
The name of this organization is “International Amateur Radio Union - Region II,” and it is a regional organization of the International Amateur Radio Union (”IARU”) in the Americas. This organization may subsequently be referred to in this Constitution, or the organization’s Bylaws, as the “Union,” “IARU-Region II,” “IARU, Region 2,” “IARU, R II,” “IARU, R 2,” “Region II,” and “Region 2.”
ARTICLE II
OBJECTIVES AND PRINCIPLES OF THE UNION
The Union’s objectives are those expressed in the Constitution of the International Amateur Radio Union and particularly:
2.1 To protect and represent the interests of Amateur Radio in the Region in all matters related to the International Telecommunication Union “ITU” and with regional organizations such as the Inter-American Telecommunication Commission (”CITEL”), sub-regional organizations such as the Caribbean Telecommunications Union (”CTU”) and others, and to coordinate such protection by IARU representation.
2.2 To establish and maintain relations with Regions I and III of the IARU, coordinating and cooperating with them on all matters of mutual interest.
2.3 To promote and coordinate radio communication amongst the amateurs of the various countries and territories in Region II.
2.4 To promote mutual cooperative agreements amongst the radio amateur societies of the different countries and territories within Region II and amongst the various geographical areas within Region II.
2.5 To promote the progress of the science of radio through experimentation.
2.6 To promote international friendship and the growth of amateur radio in Region II.
2.7 To promote the adoption of the principle of reciprocity for the issuance of Amateur Radio licenses amongst the countries of Region II as well as those of Regions I and III.
2.8 To promote all additional activities related to Amateur Radio.
ARTICLE III
MEMBERS OF THE UNION
The members of the Union are those societies of radio amateurs situated within Region II that are members of the International Amateur Radio Union.
Acceptance of new members will be governed according to the provisions in the IARU Constitution and its Bylaws
ARTICLE IV
STRUCTURE OF THE UNION
The Assembly of Delegates (also referred to as the “Assembly or Conference”) is the supreme body of the Union. It consists of the representatives of the member societies within Region II.
At least every three years, the Assembly of Delegates will meet in the country of one of the Member Societies within Region II.
Each Member Society has the right to one vote at the Assembly meetings
The Assembly will elect the Members of the Executive Committee. The President of Region II presides over the Assembly of Delegates and the Executive Committee. The Executive Committee, with full executive powers, is in charge of the Union’s administration. The composition, procedures, powers and duties of the Executive Committee are fully set forth in the by-laws for the Union that together with this Constitution will govern the organization and structure of the Union.
ARTICLE V
SECRETARIAT OF THE UNION
The location of the Secretariat of the Union shall be in the country or territory where the Secretary of the Union resides.
ARTICLE VI
AMENDMENTS TO THE CONSTITUTION
The Constitution may be amended by an affirmative vote of at least three-fourths of delegates present at the Assembly
ARTICLE VII
BY-LAWS OF THE UNION
The By-laws may be modified by an affirmative vote of the half plus one of the Member Societies taking part in an Assembly of Delegates Any modifications or amendments of the by-laws of the Union shall be in accordance with the provisions set forth in the by-laws.
ARTICLE VIII
DISSOLUTION OF THE UNION
The International Amateur Radio Union - Region II may be dissolved only by the unanimous vote of an Extraordinary Assembly duly convoked five months in advance. In case of the dissolution of the Union, the following procedure must be followed:
1. The President, the Secretary and the Treasurer will constitute a “Liquidation Board” which will control and take care of the Union’s properties and will distribute among the member societies the “Fund Available for Distribution.”
2. The Secretary will take care of all the files and records of the Union for five years. If after that period the Union does not become organized, they will be sent to IARU.
3. For distribution of the “Fund Available for Distribution” the Treasurer will follow this procedure:
(1) After paying all the expenses of the Union, he will establish the total funds of the Organization, in cash and in the banks. This will constitute the “Fund Available for Distribution.”
(2) Then the Treasurer will determine the total amount that each Member-Society had paid since its entrance into the Union.
(3) The Treasurer will determine the total income of the Union since it was founded in 1964 in Mexico City.
(4) The Treasurer will determine what percentage of the Union’s income represents the total of the contribution of each Member-Society.
(5) Each Member-Society will receive from the “Fund Available for Distribution” the amount that corresponds to the percentage determined in (4).
(6) All the documents related with the distribution of the “Fund Available for Distribution” have to be signed by the three members of the “Liquidation Board.”
(7) All Member-Societies have to give to the Treasurer a receipt stating the amount received.
(8).When the distribution of the “Fund Available for Distribution” has been completed, the Treasurer will send the records to the Secretary who will keep them together with the records of the office for the period of time specified in paragraph 8.2.
Any and all references in this Constitution to the masculine shall also include the feminine.
ARTICLE IX
GENERAL DISPOSITIONS
1. Neither the Assemblies nor the Executive Committee can take decisions contrary to the current Constitution of the Union and the Constitution and By Laws of the IARU
2. Neither the Assembly nor the Executive Committee may unilaterally intervene in the internal affairs of its Member Societies.
3. The official languages of the Union are Spanish and English.
4. The financial statements of the Union will cover the period from I January to 31 December of each year.
5. Reference in this Constitution to the masculine gender will be understood as referring also to the feminine gender.
The Extraordinary Assembly of Delegates assembled at Guatemala, on September 30, 2001, hereby adopts this Constitution.
