It\u2019s also available as a&nbsp;<a href=\"https:\/\/www.iaru-r2.org\/wp-content\/uploads\/2021\/03\/Region-2-Constitution-E-2019.pdf\">PDF-Download<\/a>.<\/p>\n<hr>\n<p><em><span class=\"caps\">CONSTITUTION<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span> <\/em><em><span class=\"caps\">INTERNATIONAL<\/span> <span class=\"caps\">AMATEUR<\/span> <span class=\"caps\">RADIO<\/span> <span class=\"caps\">UNION<\/span>\u2009\u2014\u2009<\/em><em><span class=\"caps\">REGION<\/span> <span class=\"caps\">II<\/span><\/em><\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> I<\/strong><\/p>\n<p><span class=\"caps\">NAME<\/span><\/p>\n<p>The name of this organization is \u201cInternational Amateur Radio Union\u2009\u2014\u2009Region <span class=\"caps\">II<\/span>,\u201d and it is a&nbsp;regional organization of the International Amateur Radio Union in the Americas. This organization may subsequently be referred to in this Constitution, or the organization\u2019s Bylaws, as the \u201cUnion,\u201d \u201cIARU-Region <span class=\"caps\">II<\/span> \u201c<span class=\"caps\">IARU<\/span>, Region 2,\u201d \u201c<span class=\"caps\">IARU<\/span>, R&nbsp;<span class=\"caps\">II<\/span>,\u201d \u201c<span class=\"caps\">IARU<\/span>, R&nbsp;2,\u201d \u201cRegion <span class=\"caps\">II<\/span>, and \u201cRegion 2.\u201d<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">II<\/span><\/strong><\/p>\n<p><span class=\"caps\">OBJECTIVES<\/span> <span class=\"caps\">AND<\/span> <span class=\"caps\">PRINCIPLES<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The Union\u2019s objectives are those expressed in the Constitution of the International Amateur Radio Union and particularly:<\/p>\n<p>2.1 To protect and represent the interests of Amateur Radio in the Region in all matters related to the International Telecommunication Union \u201c<span class=\"caps\">ITU<\/span>\u201d and with regional organizations such as the Inter-American Telecommunication Commission (\u201c<span class=\"caps\">CITEL<\/span>\u201d), sub-regional organizations such as the Caribbean Telecommunications Union (\u201c<span class=\"caps\">CTU<\/span>\u201d) and others, and to coordinate such protection by <span class=\"caps\">IARU<\/span> representation.<\/p>\n<p>2.2 To establish and maintain relations with Regions I&nbsp;and Ill of the <span class=\"caps\">IARU<\/span>, coordinating and cooperating with them on all matters of mutual interest.<\/p>\n<p>2.3 To promote and coordinate radio communication amongst the amateurs of the various countries and territories in Region <span class=\"caps\">II<\/span>.<\/p>\n<p>2.4 To promote mutual cooperative agreements amongst the radio amateur societies of the different countries and territories within Region <span class=\"caps\">II<\/span> and amongst the various geographical areas within Region <span class=\"caps\">II<\/span>.<\/p>\n<p>2.5 To promote the progress of the science of radio through experimentation.<\/p>\n<p>2.6 To promote international friendship and the growth of amateur radio in Region <span class=\"caps\">II<\/span>.<\/p>\n<p>2.7 To promote the adoption of the principle of reciprocity for the issuance of<\/p>\n<p>Amateur Radio licenses amongst the countries of Region <span class=\"caps\">II<\/span> as well as those of Regions<\/p>\n<p>I and&nbsp;Ill.<\/p>\n<p>2.8 To promote all additional activities related to Amateur Radio.<em>&nbsp;<\/em><\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">II<\/span><\/strong><\/p>\n<p><span class=\"caps\">OBJECTIVES<\/span> <span class=\"caps\">AND<\/span> <span class=\"caps\">PRINCIPLES<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The Union\u2019s objectives are those expressed in the Constitution of the International Amateur Radio Union and particularly:<\/p>\n<p>The Union is organized exclusively for charitable, educational, and scientific purposes, within the meaning of Section 501 \u00a9 (3) of the Internal Revenue Code of 1986, (United States of America) including the advancement of Amateur Radio science. The objectives of this Union shall include, but shall not be limited to, the following;<\/p>\n<p>2.1 To protect and represent the interests of Amateur Radio in the Region in all matters related to the International Telecommunication Union \u201c<span class=\"caps\">ITU<\/span>\u201d and with regional organizations such as the Inter-American Telecommunication Commission (\u201c<span class=\"caps\">CITEL<\/span>\u201d), sub-regional organizations such as the Caribbean Telecommunications Union (\u201c<span class=\"caps\">CTU<\/span>\u201d) and others, and to coordinate such protection by <span class=\"caps\">IARU<\/span> representation.<\/p>\n<p>2.2 To establish and maintain relations with Regions I&nbsp;and Ill of the <span class=\"caps\">IARU<\/span>, coordinating and cooperating with them on all matters of mutual interest.<\/p>\n<p>2.3 To promote and coordinate radio communication amongst the amateurs of the various countries and territories in <span class=\"caps\">IARU<\/span> Region <span class=\"caps\">II<\/span>.<\/p>\n<p>2.4 To promote mutual cooperative agreements amongst the radio amateur societies of the different countries and territories within <span class=\"caps\">IARU<\/span> Region <span class=\"caps\">II<\/span> and amongst the various geographical areas within the Region.<\/p>\n<p>2.5 To promote the progress of the science of radio through experimentation.<\/p>\n<p>2.6 To promote international friendship and the growth of amateur radio in <span class=\"caps\">IARU<\/span> Region <span class=\"caps\">II<\/span>.<\/p>\n<p>2.7 To promote the adoption of the principle of reciprocity for the issuance of<\/p>\n<p>Amateur Radio licenses amongst the countries of <span class=\"caps\">IARU<\/span> Region <span class=\"caps\">II<\/span> as well as those of <span class=\"caps\">IARU<\/span> Regions I&nbsp;and Ill.<\/p>\n<p>2.8 To promote all additional activities related to Amateur Radio.<\/p>\n<p>2.9 To do any and all things and exercise any and all powers, rights, and privileges for which this Union or a&nbsp;corporation may now or hereafter be organized under the Minnesota Nonprofit Corporation Act, as amended from time to&nbsp;time.<\/p>\n<p>None of the provisions of this Article I&nbsp;shall be construed to permit this Union to carry on any business, or hereafter to exercise any power, or to do any act, which a&nbsp;corporation now or hereafter organized under the Minnesota Nonprofit Corporation Act may not at any time carry on, exercise or do; nor shall this Corporation carry on any business or exercise any power in any state, territory, or country which under the laws thereof this Corporation may not lawfully carry on or exercise.<\/p>\n<p>Notwithstanding any provision of this Constitution, this Union shall not have the power, and shall not be authorized, to devote any substantial part of the activities of this Union to the carrying on of propaganda or otherwise attempting to influence legislation, or to participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.<\/p>\n<p>Notwithstanding any other provision in this Constitution, this Union shall not carry on any activities not permitted to be carried on (a) by a&nbsp;corporation exempt from federal income tax under Section 501 \u00a9 (3) of the Internal Revenue Code of 1986, as amended from time to time, or (b) by a&nbsp;corporation, contributions to which are deductible under Section 170\u00a9 (2) of the Internal Revenue Code of 1986, as amended from time to&nbsp;time.<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> Ill<\/strong><\/p>\n<p><span class=\"caps\">MEMBERS<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The members of the Union are those societies of radio amateurs situated within<\/p>\n<p>Region <span class=\"caps\">II<\/span> that are members of the International Amateur Radio&nbsp;Union.<\/p>\n<p>Acceptance of new members will be governed according to the provisions in the&nbsp;<span class=\"caps\">IARU<\/span><\/p>\n<p>Constitution and its Bylaws<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">IV<\/span><\/strong><\/p>\n<p><span class=\"caps\">STRUCTURE<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The Assembly of Delegates (also referred to as the \u201cAssembly or Conference\u201d) is the supreme body of the Union. It consists of the representatives of the member societies within Region <span class=\"caps\">II<\/span>.<\/p>\n<p>At least every three years, the Assembly of Delegates will meet in the country of one of the Member Societies within Region <span class=\"caps\">II<\/span>.<\/p>\n<p>Each Member Society has the right to one vote at the Assembly meetings<\/p>\n<p>The Assembly will elect the Members of the Executive Committee. The President of Region <span class=\"caps\">II<\/span> presides over the Assembly of Delegates and the Executive Committee. The Executive Committee, with full executive powers, is in charge of the Union\u2019s administration. The composition, procedures, powers and duties of the Executive Committee are fully set forth in the by-laws for the Union that together with this Constitution will govern the organization and structure of the&nbsp;Union.<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">IV<\/span><\/strong><\/p>\n<p><span class=\"caps\">STRUCTURE<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The Assembly of Delegates (also referred to as the \u201cAssembly or Conference\u201d) is the supreme body of the Union. It consists of the representatives of the member societies within Region <span class=\"caps\">II<\/span>.<\/p>\n<p>At least every three years, the Assembly of Delegates will meet in the country of one of the Member Societies within Region <span class=\"caps\">II<\/span>.<\/p>\n<p>Each Member Society<strong>, <\/strong>in good standing and current in its dues to the Union<strong>,<\/strong> has the right to one vote at the Assembly meetings<\/p>\n<p>The Assembly will elect the Members of the Executive Committee. The President of Region <span class=\"caps\">II<\/span> presides over the Assembly of Delegates and the Executive Committee. The Executive Committee, with full executive powers, is in charge of the Union\u2019s administration. The composition, procedures, powers and duties of the Executive Committee are fully set forth in the by-laws for the Union that together with this Constitution will govern the organization and structure of the&nbsp;Union.<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> V<\/strong><\/p>\n<p><span class=\"caps\">SECRETARIAT<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The location of the Secretariat of the Union shall be in the country or territory where the Secretary of the Union resides.<\/p>\n<p><strong><\/strong><\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">VI<\/span><\/strong><\/p>\n<p><span class=\"caps\">AMENDMENTS<\/span> <span class=\"caps\">TO<\/span> <span class=\"caps\">THE<\/span> <span class=\"caps\">CONSTITUTION<\/span><\/p>\n<p>The Constitution may be amended by an affirmative vote of at least three-fourths of delegates in good standing, current in dues to the Union and present at the Assembly<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">VII<\/span><\/strong><\/p>\n<p><span class=\"caps\">BY-LAWS<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The By-laws may be modified by an affirmative vote of the half plus one of the Member Societies taking part in an Assembly of Delegates Any modifications or amendments of the by-laws of the Union shall be in accordance with the provisions set forth in the by-laws.<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">VIII<\/span><\/strong><\/p>\n<p><span class=\"caps\">DISSOLUTION<\/span> <span class=\"caps\">OF<\/span> <span class=\"caps\">THE<\/span>&nbsp;<span class=\"caps\">UNION<\/span><\/p>\n<p>The International Amateur Radio Union\u2009\u2014\u2009Region <span class=\"caps\">II<\/span> may be dissolved only by the unanimous vote of an Extraordinary Assembly duly convoked five months in advance, In case of the dissolution of the Union, the following procedure must be followed:<\/p>\n<ol>\n<li>The President, the Secretary and the Treasurer will constitute a \u201cLiquidation Board\u201d which will control and take care of the Union\u2019s properties and will distribute among the member societies the \u201cFund Available for Distribution.\u201d<\/li>\n<li>The Secretary will take care of all the files and records of the Union for five years. If after that period the Union does not become organized, they will be sent to&nbsp;<span class=\"caps\">IARU<\/span>.<\/li>\n<li>For distribution of the \u201cFund Available for Distribution\u201d the Treasurer will follow this procedure:<\/li>\n<\/ol>\n<p>(1) After paying all the expenses of the Union, he will establish the total funds of the Organization, in cash and in the banks. This will constitute the \u201cFund Available for Distribution.\u201d<\/p>\n<p>(2) Then the Treasurer will determine the total amount that each Member-Society had paid in the previous five years into the&nbsp;Union.<\/p>\n<p>(3) The Treasurer will determine what percentage of the Union\u2019s income represents the total of the contribution of each Member-Society.<\/p>\n<p><strong><\/strong><\/p>\n<p>(4) The Treasurer will designate from the \u201cFund Available for Distribution\u2019 the amount that corresponds to the percentage determined in (3) that shall be paid to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501 \u00a9 (3) of the Internal revenue Code of 1986 as amended from time to time as determined by the Member Society.<\/p>\n<p>(5) All the documents related with the distribution of the \u201cFund Available for Distribution\u201d have to be signed by the three members of the \u201cLiquidation Board.\u201d<\/p>\n<p>(6) Each Member-Societie <strong>or its <\/strong>designee will give to the Treasurer a&nbsp;receipt stating the amount received.<\/p>\n<p>(8). When the distribution of the \u201cFund Available for Distribution\u201d has been completed, the Treasurer will send the records to the Secretary who will keep them together with the records of the office for the period of time specified in paragraph 8.2.<\/p>\n<p><strong><span class=\"caps\">ARTICLE<\/span> <span class=\"caps\">IX<\/span><\/strong><\/p>\n<p><span class=\"caps\">GENERAL<\/span> <span class=\"caps\">DISPOSITIONS<\/span><\/p>\n<ol>\n<li>Neither the Assemblies nor the Executive Committee can take decisions contrary to the current Constitution of the Union and the Constitution and By Laws of the&nbsp;<span class=\"caps\">IARU<\/span><\/li>\n<li>Neither the Assembly nor the Executive Committee may unilaterally intervene in the internal affairs of its Member Societies.<\/li>\n<li>The official languages of the Union are Spanish and English.<\/li>\n<li>The financial statements of the Union will cover the period from January 1&nbsp;to December 31 each&nbsp;year.<\/li>\n<\/ol>\n<p><strong>Amended this second day of October 2019<\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Below you will find the Constitution of the International Amateur Radio Union Region 2.
